Terms of sale and use

1. Purpose

These terms (the "Terms") govern access to the Octopia service (the "Service"), published by MG INNOVATIONS ("Octopia", "we"), available at www.octopia.pro, and the sale of the credit packs that allow its use. They apply to anyone who creates an account (the "Customer", "you").

Octopia is for professional use only: the Service is intended for merchants operating a Shopify store and for the providers acting on their behalf. By creating an account you declare that you act in the course of your business.

2. Acceptance

Creating an account constitutes full acceptance of the Terms in force, together with the privacy policy. Octopia may update the Terms; the applicable version is the one published at the time of purchase or use, and a substantial change is announced in the application. Continued use constitutes acceptance.

3. The Service

Octopia puts a team of AI-assisted specialists to work on the product pages of your Shopify store: gathering evidence from the supplier sources you indicate, writing a master product page, quality checks, image processing, localization into your store's languages and, on your decision, publication. The Service works in stages; at each decisive stage (strategy, claims, quality, publication) the work stops and waits for your approval.

The Service reads your store with read-only permissions and writes to it under one condition only: your final decision to publish a given page. No publication is ever automatic.

4. Account and organization

An account is personal. You are responsible for keeping your credentials confidential and for any activity carried out from your account; we recommend enabling two-factor authentication. An organization groups the members who work on the same stores; its owner is answerable for the acts of its members.

5. Prices and credits

The Service is paid for in product credits, sold in packs. One credit is the complete treatment of one product: research, copy, SEO, images within the pack's quota, quality checks, Shopify publication and 30 days of refinements. There is no subscription.

• Prices are displayed on the Site in US dollars (USD), exclusive of taxes; any applicable tax is charged in addition, in accordance with the regulations in force. The price paid is the one displayed at the time of the order; a launch price, when announced, applies until the date shown on the Site.
• Each pack includes a quota of processed images. Beyond it, each additional image is charged at the rate displayed on the Site.
• Localization is an option charged per product and per language, offered once the master page is approved. A language bought for a product stays acquired for that product.
• Credits and image units are valid for 12 months from purchase; whatever is unused at that date is forfeited.

6. Ordering and payment

How you pay depends on how you came to Octopia, and your billing page states which applies to you.

• If you signed up on octopia.pro: payment is made by card through Stripe at the time of the order, and Octopia issues you an invoice, downloadable from your billing page. Octopia stores no card data.
• If you installed Octopia from the Shopify App Store: payment goes through Shopify. The purchase is approved in your Shopify admin, charged to your Shopify bill, and invoiced to you by Shopify; Octopia issues no separate invoice for it. This is required of applications distributed through the Shopify App Store.

In both cases the order is firm once the payment is confirmed by the provider, and the credits are then added to your organization's balance.

7. Spending credits

• A credit is spent when the treatment of a product starts.
• Once the master page is accepted, you have 30 days of refinements on that product without a new credit.
• If a treatment fails for a technical reason attributable to Octopia without delivering a page, the credit is returned to you as a new credit.
• A treatment you cancel, reject or let expire after the master page has been delivered counts as spent.

8. Withdrawal and refunds

As the Service is reserved for professionals, the consumer right of withdrawal does not apply. Unused credits are not refundable, except where mandatory law provides otherwise or with Octopia's written agreement. Any request goes through the contact form, subject "Billing".

9. Your obligations

You warrant that you:

• are authorised to connect the Shopify store concerned and to publish to it;
• hold the rights needed on the content you provide and on the content you ask Octopia to read or reuse — in particular images and texts taken from supplier pages, for whose use on your store you remain solely responsible;
• review and approve product pages before publication: the claims, regulatory statements and characteristics published engage your responsibility as a seller;
• will not use the Service for unlawful or misleading purposes, or in breach of Shopify's rules.

10. Content produced by the Service

The product pages, texts, processed images and localizations produced for you are yours once delivered; you grant us the right to process and store them in order to run the Service. This content is produced with the help of artificial-intelligence models and of sources you designate: it may contain errors. Octopia puts checks and approval points in place, but the decision to publish — and its compliance — is yours.

The Service itself — software, team of specialists, brand, illustrations, documentation — remains the exclusive property of Octopia. No right other than the use of the Service is transferred to you.

11. Data

The processing of personal data is described in the privacy policy. For your store and product data, Octopia acts as a processor, on your instructions, with the providers listed there.

12. Availability and support

Octopia is provided "as is", on a reasonable-efforts basis, with no availability commitment. Maintenance interruptions may occur. The Service depends on third parties (Shopify, Stripe, model providers) whose unavailability is not attributable to us. Support is provided through the contact form.

13. Liability

To the extent permitted by law, Octopia's liability, on any ground, is capped at the amounts you actually paid for the Service in the twelve months preceding the event giving rise to it. Octopia is not liable for indirect damage: loss of revenue, customers, data or reputation, nor for the consequences of a page you approved and published.

14. Term, suspension, termination

The account is opened for an indefinite term. You may disconnect your stores and close your account at any time through the contact form; remaining credits are forfeited on closure. Octopia may suspend or close an account in case of breach of the Terms, fraudulent use or a risk to the security of the Service, after notice except in an emergency.

15. Governing law and jurisdiction

The Terms are governed by French law. Any dispute about their interpretation or performance which is not settled amicably is submitted to the Paris commercial court (Tribunal des activités économiques de Paris), including in case of multiple defendants or third-party proceedings.
